Acceptance of Terms
By accessing houston3pl.com, requesting a quote, or engaging Houston3PL for warehousing, fulfillment, transportation, or related logistics services, you agree to be bound by these Terms of Service. If you are entering into these terms on behalf of a company, you represent that you have the authority to bind that company.
Services Offered
Houston3PL is a regional third-party logistics operation within the Sam\u2019s 3PL Solutions network, serving the greater Houston market and connecting to the Port of Houston, Bush Intercontinental (IAH), and Hobby (HOU) gateways. Services include, but are not limited to: warehousing, pick and pack, ecommerce fulfillment, drayage, cross-docking, kitting and assembly, cold storage, hazmat handling, freight forwarding, FTZ operations, and transportation management.
The specific services provided to any given client are governed by a separate written Service Agreement or Statement of Work ("SOW") executed between the client and Houston3PL. These Terms supplement that agreement; in the event of a conflict, the executed Service Agreement controls.
Quotes & Service Agreements
Quotes issued through the website or via email are valid for thirty (30) days unless otherwise stated. Rates are based on information provided by the requesting party; material changes in volume, commodity, dimensions, special handling requirements, or fuel indices may result in a revised quote. No service relationship is created until a written Service Agreement is executed by both parties.
Client Obligations
- Provide accurate and complete product, shipment, and commodity information.
- Disclose any hazardous, temperature-sensitive, regulated, or high-value materials in advance.
- Deliver goods in properly labeled, protected, and load-ready condition.
- Maintain adequate cargo insurance for goods stored or in transit.
- Pay invoices in accordance with the agreed payment terms.
Prohibited Commodities
Houston3PL does not accept the following without explicit prior written approval and the appropriate facility classification: undeclared hazardous materials, illegal drugs or controlled substances outside a regulated program, live animals, human remains, explosives, radioactive materials, currency and bearer instruments, firearms, and any goods prohibited by federal, state, or local law. Shipments containing undisclosed prohibited items may be refused, held, or reported to the appropriate authorities at the client\u2019s expense.
Limitation of Liability
Except as expressly stated in a signed Service Agreement, Houston3PL\u2019s liability for any loss, damage, or delay of goods is limited to the lesser of (a) the actual invoice value of the affected goods, (b) the standard industry warehouseman\u2019s liability limit of $0.50 per pound per article, or (c) the limit specified in the governing Service Agreement. Houston3PL is not liable for indirect, consequential, incidental, special, or punitive damages, including lost profits or loss of business, even if advised of the possibility of such damages.
Insurance & Claims
Houston3PL maintains commercial general liability, warehouse legal liability, and cargo insurance appropriate to a regional 3PL operation. Clients are strongly encouraged to carry their own cargo insurance covering the full replacement value of goods in storage or in transit. All claims for loss or damage must be submitted in writing within the timeframes specified in the Service Agreement or, in the absence of one, within nine (9) months of the date of delivery or, in the case of non-delivery, within nine (9) months after a reasonable time for delivery has elapsed.
Intellectual Property
All content on houston3pl.com \u2014 including text, graphics, logos, design, layout, and the Mission Control visual system \u2014 is the property of Houston3PL and Sam\u2019s 3PL Solutions or its licensors and is protected by U.S. and international intellectual property law. You may not reproduce, republish, scrape, or reuse this content without prior written permission. "Houston3PL" and "Sam\u2019s 3PL Solutions" are trademarks of their respective owners.
Termination
Either party may terminate a Service Agreement in accordance with the termination provisions contained in that agreement. Upon termination, the client remains responsible for payment of services rendered through the effective termination date, removal of goods by the agreed deadline, and any storage or handling charges accrued during wind-down.
Governing Law & Venue
These Terms and any Service Agreement executed with Houston3PL are governed by the laws of the State of Texas, without regard to conflict-of-law principles. Any dispute arising out of or relating to the site or services shall be resolved exclusively in the state or federal courts located in Harris County, Texas, and you consent to the personal jurisdiction of those courts.
